Extract of the Material Fact sent to the Chilean Superintendencia de Valores y Seguros (“SVS”) on October 30th, 20151. Regarding the association informed in a Material Fact sent to the SVS on October 7th 2015, between Inversiones La Construcción S.A. (“ILC”, or the “Corporation”) and Baninter S.A., owner of Banco Internacional, Factoring Baninter S.A. and Baninter Corredores de Seguros S.A. (all together the “Companies”), ILC declared successful the tender offer for Banco Internacional, where acquired 681 million shares, equivalent to 38.1% ownership. In addition, the Corporation subscribed 466 million new shares, as was approved in the Extraordinary Shareholders’ Meeting celebrated on April 22 nd to finally reach 50.9% ownership in the Bank. ILC also acquired approximately 943 thousand shares of Factoring Baninter S.A. and subscribed roughly 400 thousand new shares, as part of a capital increase undertaken to reach 50.1% ownership. Furthermore, ILC acquired 50.1% of Baninter Corredores de Seguros Ltda. Finally, the Corporation and Baninter S.A. subscribed a Shareholders Agreement through BI Administradora SpA. All the mentioned acquisitions implied a disbursement of approximately CLP$67,600 million (US$98 million2).
