WHEREAS the Licensee wishes to obtain a
subscription to access via the Internet World Wide
Web the IAEA International Nuclear Information
System Database (hereinafter referred to as the
INIS Database);
CONSIDERANDO, que el Licenciatario desea
obtener una suscripción para acceder por la
Internet World Wide Web a la Base de Datos del
Sistema Internacional de Documentación Nuclear
del OIEA (en adelante denominada Base de Datos
del INIS);
NOW, THEREFORE, the Licensor and the
Licensee hereby agree as follows:

1.1 This license is provided by the Licensor free
of charge to the Licensee.

1.2 The Licensor hereby grants and the Licensee
hereby accepts, upon the terms and subject to the
conditions contained herein, a non-exclusive license
to access, search, retrieve, display, print and
download information contained within the INIS
Database via the Internet for the exclusive use of
the Licensee and its staff and students.
1.2 El Licenciante otorga y el Licenciatario
acepta, según las condiciones estipuladas en este
Acuerdo, una licencia no exclusiva para acceder,
buscar, recuperar, visualizar, imprimir y descargar
información contenida en de la Base de Datos del
INIS por Internet para el uso exclusivo del
Licenciatario, su personal y estudiantes.

Acceso y uso de la Base de Datos del

2.1 Upon execution and return of this License
Agreement, the Licensor shall issue the Licensee
with usernames/passwords for Internet access to
the
INIS Database. The number of
usernames/passwords shall be separately agreed
upon between the Licensor and Licensee.
2.1 Tras la ejecución y devolución de este
Acuerdo de Licencia, el Licenciante deberá otorgar
al Licenciatario nombres de usuario/contraseñas
para el acceso a la Base de Datos del INIS por
Internet.
El

usuario/contraseñas deberá ser acordado por
separado entre el Licenciante y el Licenciatario.
In lieu of usernames/passwords for Internet access,
access to the INIS Database may be provided
through IP addresses. A Request for IP Access
Authorization (attached hereto) must be completed
and submitted to the Licensor for prior approval
and due authorization.
En lugar de nombres de usuario/contraseñas para el
acceso a Internet, el acceso a la Base de Datos del
INIS podrá obtenerse con una dirección IP. La
solicitud de autorización de acceso por IP (anexa)
deberá realizarse y presentarse al licenciante para
su previa aprobación y debida autorización.
2.2 Access to the INIS Database shall be
provided twenty-four (24) hours a day, seven (7)
days a week, except during maintenance, when
access will not be available. The Licensor shall
endeavor to provide advance notice of scheduled
maintenance periods.
2.2 El acceso a la Base de Datos del INIS
deberá ser concedido veinticuatro (24) horas al día
y siete (7) días a la semana, excepto durante el
mantenimiento, cuando no se dispondrá de acceso.
El Licenciante procurará notificar por anticipado los
períodos de mantenimiento programados.
2.3 While the Licensor shall endeavor to provide
access to the INIS Database as set forth in
Clause 2.2, the Licensor shall not be liable for any
interruption in service that may occur.

establecido en la cláusula 2.2., el Licenciante no
será responsable de ninguna interrupción que
pudiera ocurrir en el servicio.
2.4 Access to the INIS Database requires the
use of a Web browser which supports the
"JavaScript 1.1" standard, such as "Microsoft
Internet Explorer 4.0+", Netscape Navigator 3.0+",
or Netscape Communicator 4.0+".
2.4 El acceso a la Base de Datos del INIS exige
el uso de un explorador de la Web que se ajuste a
la norma “JavaScript 1.1.”, como “Microsoft
Internet Explorer 4.0+”, Netscape Navigator
3.0+”, o “Netscape Communicator 4.0+”.
2.5 Data transmission and computer link to the
INIS Database via the Internet shall be the
exclusive responsibility of the Licensee.

Compromisos de la licencia
The Licensee expressly undertakes not to:
El Licenciatario se compromete expresamente a no:
(a) provide or otherwise make available direct
access to the INIS Database for any purpose in any
form to any persons other than those indicated in
Clause 1.2;
(a) suministrar o de algún modo facilitar acceso
directo a la Base de Datos del INIS para cualquier
finalidad, de cualquier manera y a cualquier persona
que no sean las indicadas en la cláusula 1.2;
(b) assert any proprietary rights to any portion of
the INIS Database, or any information contained
within the INIS Database; and
(b) reclamar derechos de propiedad de alguna
parte de la Base de Datos del INIS, o alguna
información contenida en la Base de Datos del
INIS; y
(c) divulge the password(s) to unauthorized users
and to promptly inform the Licensor in the event a
password has been compromised.

4.

Liability

4.1 The Licensor shall not be liable to the
Licensee for any loss or damage whatsoever or
howsoever caused arising directly or indirectly in
connection with this license, the INIS Database,
including the information contained within the INIS
Database, disruption in access to the INIS
Database, its use or otherwise.
4.1 El Licenciante no será responsable ante el
Licenciatario por ninguna pérdida o daño causado
directa o indirectamente en relación con esta
licencia, a la Base de Datos del INIS, inclusive la
información contenida en la Base de Datos del
INIS, la interrupción en el acceso a la Base de
Datos del INIS, su utilización u otra cosa.
4.2 Notwithstanding the generality of Clause 4.1,
the Licensor expressly excludes liability for
consequential loss or damage, which may arise in
respect of the INIS Database, its use or for loss of
profit, business, revenue, goodwill or anticipated
savings.
4.2 No obstante lo dispuesto en general en la
cláusula 4.1., el Licenciante excluye expresamente
la responsabilidad por la pérdida o el daño
consiguiente que pueda surgir con respecto a la
Base de Datos del INIS y su uso o por la pérdida
de utilidades, negocios, ingresos, fondos de
comercio o economías previstos.

Intellectual Property Rights
The Licensee acknowledges that any and all
of the trademarks, trade names, copyrights, patents
and other intellectual property rights used or
embodied in or in connection with the INIS
Database shall be and remain the sole property of
the Licensor. The Licensee shall not during or at
any time after the expiration or termination of this
license in any way question or dispute such rights.

El Licenciatario reconoce que todas las
marcas de fábrica, nombres comerciales, derechos
de autor, patentes y otros derechos de propiedad
intelectual utilizados o incorporados en la Base de
Datos del INIS o en relación con ella, serán y
seguirán siendo propiedad exclusiva del
Licenciante. El Licenciatario no cuestionará o
impugnará dichos derechos durante el período de
vigencia de esta licencia ni en ningún momento
después de su vencimiento o rescisión.

Privileges and Immunities

Privilegios e inmunidades
Nothing in this License Agreement shall be
construed as a waiver of the privileges and
immunities accorded to the Licensor by its Member
States.
Nada de lo dispuesto en este Acuerdo de Licencia
deberá ser interpretado como una renuncia de los
privilegios e inmunidades otorgados al Licenciante
por sus Estados Miembros.

Settlement of Disputes

Any dispute arising out of or relating to
interpretation or implementation of this License
Agreement, which cannot otherwise be settled by
the Parties, shall be referred by either Party to
arbitration for settlement in accordance with the
UNCITRAL Arbitration Rules as in force at the
date the dispute is referred to arbitration. The
number of arbitrators shall be one. The place of
arbitration shall be Vienna, Austria. The language of
the Arbitration shall be English. The decision of the
arbitrator shall be final and binding on the Parties.
Cualquier controversia derivada o relacionada con
la interpretación o aplicación de este Acuerdo de
Licencia que de algún modo no pueda ser resuelta
por las Partes, será sometida a arbitraje por
cualquiera de las Partes para su solución con
arreglo a las reglas de arbitraje de la CNUDMI que
estén en vigor en la fecha en que la controversia sea
sometida a arbitraje. El número de árbitros será de
uno. El lugar del arbitraje deberá ser Viena
(Austria). El idioma del arbitraje será el inglés. La
decisión del árbitro deberá ser final y obligatoria
para las Partes.

Termination

8.1 Either Party may terminate this License
Agreement by thirty (30) days written notice to the
other.
8.1 Cualquiera de las Partes podrá rescindir este
Acuerdo de Licencia avisando por escrito a la otra
Parte con 30 días de anticipación.
8.2 The Licensee's username(s), password(s)
and/or IP address(es) for access to the INIS
Database will be canceled on the date of
termination.
8.2 Los nombres de usuario, contraseñas y/o
direcciones IP para el acceso a la Base de Datos
del INIS deberán ser cancelados en la fecha de
rescisión.

Assignment
Cesión
The Licensee shall not assign, transfer,
pledge, or make any other disposition of this
License Agreement or any part thereof or any of its
rights, claims, liabilities or obligations under this
License Agreement without the prior written
consent of the IAEA.
El Licenciatario no asignará, transferirá, entregará
en garantía o cederá de alguna otra forma este
Acuerdo de Licencia o alguna parte de él o
cualquiera de sus derechos, reclamaciones,
responsabilidades u obligaciones previstas en este
Acuerdo de Licencia sin el consentimiento previo
por escrito del OIEA.

Amendments
No changes in or modifications of this
License Agreement shall be made except by mutual
agreement in writing between the Licensor and the
Licensee.
Enmiendas
No se efectuarán cambios ni modificaciones al
presente Acuerdo de Licencia salvo que lo
acuerden por escrito el Licenciante y el
Licenciatario.

11.
Termination of Prior License Agreement

The Parties agree that any license agreement
between them concerning the same services to be
provided under this License Agreement shall be
terminated and superseded by this License
Agreement upon its entry into force.
Las Partes convienen en que cualquier acuerdo de
licencia concertado entre ellas con respecto a los
mismos servicios que deberán ser suministrados
con arreglo a este Acuerdo de Licencia se
considerará rescindido y reemplazado con la
entrada en vigor de este último.

Commencement and Duration

This License Agreement shall enter into force
on the date of the last signature by the Parties or
their authorized representatives. It shall remain in
force unless terminated in accordance with Clause
8.
Este Acuerdo de Licencia entrará en vigor en la
fecha de la última firma por las Partes o sus
representantes autorizados. Se mantendrá en vigor
a menos que sea rescindido de conformidad con la
cláusula 8.
This Agreement is done in the English and
Spanish languages, each being equally authentic.
El presente Acuerdo está redactado en los
idiomas inglés y español, siendo ambos textos
igualmente auténticos.
